Cloutly is a SaaS platform that provides:

• Business lead discovery via Google Places API
• AI-powered website auditing and scoring
• CRM pipeline management
• Automated email outreach with tracking
• Seasonal campaign management

3. User Accounts

• You must provide accurate registration information
• You are responsible for maintaining the security of your account
• You must be at least 18 years old to use the Service
• One account per person; sharing credentials is prohibited

4. Acceptable Use

You agree NOT to:

• Send spam, misleading, or deceptive emails through the platform
• Violate CAN-SPAM, GDPR, or any applicable anti-spam laws
• Use the Service to harass, threaten, or defame any person or business
• Attempt to scrape, reverse-engineer, or exploit the Service
• Use the Service for any illegal or unauthorized purpose
• Exceed reasonable usage limits or abuse API endpoints

5. Email Outreach Responsibilities

You acknowledge that:

• You are the sender of all outreach emails sent through Cloutly
• You are solely responsible for the content and legality of emails you send
• All emails include an auto-generated unsubscribe link and physical address
• Unsubscribe requests are honored automatically and permanently
• Repeated abuse may result in account suspension

6. AI-Generated Content Disclaimer

Cloutly uses AI (powered by Groq/LLM models) to generate website audits, email copy, and lead scores. This content is:

• Generated automatically and may contain inaccuracies
• Not a substitute for professional website auditing or marketing advice
• Provided "as is" without warranty of accuracy or completeness
• Your responsibility to review before sending to prospects

7. Subscription & Billing

• Plans are billed monthly; prices are listed on the Pricing page
• You may cancel your subscription at any time
• No refunds are provided for partial months
• We reserve the right to modify pricing with 30 days advance notice

8. Data Ownership

• Your data: You retain ownership of all data you upload or generate
• Lead data: Business information sourced from public APIs is available to all users
• Export: You may export your data at any time

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUTLY INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, abuse of the platform, or non-payment. Upon termination, your right to access the Service ceases immediately.

11. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email.

12. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be resolved through arbitration in accordance with the Indian Arbitration Act.
